User Generated Content Permission Terms

Introduction

SkinCeuticals values our community and the content you create featuring our products. These User Generated Content Permission Terms ("UGC Terms") describe how we may use content you submit to us or post publicly on social media platforms that mentions or features SkinCeuticals products or services.

By submitting content to SkinCeuticals or by using hashtags associated with our brand on social media platforms, you agree to these UGC Terms. Please read them carefully before sharing content that features SkinCeuticals.

What is User Generated Content

For purposes of these terms, "User Generated Content" or "UGC" includes but is not limited to:

• Photographs and images featuring SkinCeuticals products
• Videos and video clips showing SkinCeuticals products or their use
• Written reviews, testimonials, and comments about SkinCeuticals products
• Social media posts that mention or tag SkinCeuticals
• Before and after photos showing results from using our products
• Content submitted through campaigns, contests, or promotions
• Any other content you create and share that features our brand or products

License Grant

By submitting UGC to SkinCeuticals directly or by posting UGC publicly on social media platforms with our branded hashtags or tags, you grant SkinCeuticals and its affiliates a non-exclusive, royalty-free, worldwide, perpetual, irrevocable license to:

• Use, reproduce, modify, adapt, publish, translate, and distribute your UGC
• Display your UGC on our website, social media channels, emails, advertisements, and other marketing materials
• Create derivative works based on your UGC
• Sublicense these rights to our partners, agencies, and service providers
• Use your name, username, likeness, and biographical information in connection with your UGC

This license survives even if you later delete your original post or content.

Your Representations and Warranties

By submitting UGC, you represent and warrant that:

• You are the original creator of the UGC or have obtained all necessary rights and permissions to submit it
• You have the authority to grant the license described in these terms
• Your UGC does not infringe any third party's intellectual property rights, privacy rights, publicity rights, or other legal rights
• If your UGC includes any identifiable individuals other than yourself, you have obtained their consent to include them and to grant the rights described here
• Your UGC is accurate and not misleading
• Your UGC does not violate any applicable laws or regulations
• Your UGC does not contain any content that is defamatory, obscene, offensive, or otherwise objectionable
• You are at least 18 years of age or have parental consent to submit UGC

How We May Use Your Content

SkinCeuticals may use UGC in various ways, including but not limited to:

• Website: Displaying UGC on our website product pages, galleries, and landing pages
• Social Media: Sharing or reposting UGC on our official social media accounts
• Email Marketing: Including UGC in our email communications and newsletters
• Advertising: Using UGC in digital advertisements, display ads, and social media ads
• Print Materials: Featuring UGC in printed marketing materials, brochures, and in-store displays
• Video Content: Incorporating UGC into video content and compilations
• Events: Displaying UGC at events, trade shows, and conferences

We may edit, crop, or modify UGC for formatting purposes while maintaining the overall integrity of your content.

Attribution

When we use your UGC, we will endeavor to provide attribution by crediting your username or name when reasonably practical and appropriate for the context. However, you acknowledge that attribution may not always be possible or practical depending on the medium or format in which your UGC is used.

No Compensation

Unless otherwise agreed in writing, you will not receive any compensation, payment, or royalties for UGC you submit or for our use of your UGC under these terms. The license you grant is royalty-free and provided in exchange for the opportunity to be featured by SkinCeuticals and any other consideration provided to you.

Content Removal

If you would like us to stop using your UGC in future materials, you may contact us at ugc@skinceuticals.com with your request. We will make reasonable efforts to remove your UGC from future uses within a reasonable timeframe, though we cannot guarantee removal from materials already in circulation or produced.

Please note that once content has been shared, republished, or incorporated into other materials, complete removal may not be possible.

Content Guidelines

When creating UGC featuring SkinCeuticals, please follow these guidelines:

• Be Authentic: Share your genuine experiences and opinions about our products
• Be Accurate: Do not make false or misleading claims about product results or capabilities
• Disclose Material Connections: If you have received free products or compensation from SkinCeuticals, disclose this in accordance with FTC guidelines
• Respect Others: Do not include content that is harmful, offensive, or violates others' rights
• Follow Platform Rules: Comply with the terms of service of any social media platform where you post

Reserved Rights

SkinCeuticals reserves the right to:

• Use or not use any UGC at our sole discretion
• Remove or refuse to publish any UGC that we find objectionable or that violates these terms
• Modify these UGC Terms at any time without prior notice
